The proposed union between Independence Health System and the West Virginia University Health System cleared its latest hurdle on Tuesday, June 2 when the two sides announced that they had signed a definitive merger agreement.
The merger, which would see the Butler Memorial Hospital become part of the WVU Medicine network, is expected to finalize sometime during fall 2026, pending approval from state and federal regulators.
Under the terms of the proposed merger, WVUMedicine would invest $800 million into capital improvements for the Independence Health System facilities, including $165 million specifically targeted for Butler Memorial Hospital, and $80 million to install a new health records system from Epic Systems.
In addition, WVUMedicine would maintain all current Independence Health System “in good standing” employees for a minimum of one year.
WVUMedicine would also assume all of Independence Health’s current debt.
Independence Health System is a five-hospital network consisting of Butler Memorial, Clarion Hospital, Frick Hospital in Mt. Pleasant, Latrobe Hospital, and Westmoreland Hospital in Greensburg.
The merger would bring WVUMedicine to 30 hospitals, adding in the system’s already-existing network of 25 hospitals. The bulk of these are located in West Virginia, with others dotted over Pennsylvania, Maryland, and Ohio.
The Independence Health System was formed at the start of 2023, as the product of a merger between the Butler Health System — which contained Butler Memorial Hospital — and Excela Health, based out of Westmoreland County. Butler Health System comprised both Butler and Clarion hospitals.
